Shortical is running this global contest, inviting individual scriptwriters to submit original script materials for potential selection as the contest winner and to be awarded a prize.
The contest consists of the following prize: cash award of USD $10,000 to one selected contest winner, as further set forth in the contest official rules below. The prize winning is based on skill.

OFFICIAL CONTEST RULES
This scriptwriting contest (“Contest” or “Promotion,” as applicable) is sponsored and operated solely by Short Entertainment Ltd. and its affiliates, subsidiaries, and respective employees, officers, and directors (collectively, “Sponsor”).
NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR TO WIN. A PURCHASE OR A PAYMENT OF ANY KIND DOES NOT IMPROVE YOUR CHANCES OF WINNING.
ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED. PARTICIPATION IN THE CONTEST CONSTITUTES YOUR AGREEMENT TO AND ACCEPTANCE OF THE OFFICIAL RULES (“RULES”) BELOW.

ELIGIBILITY
This Contest is open to all individuals (and not to corporations, partnerships, or other entities) that: (i) submit the Contest Form during the Promotion Period (all as defined below); and (ii) are at least 18 years old, or the age of majority in their jurisdiction of residence, whichever is older.
Sponsor Employees and of other companies associated with the promotion of the Contest, and their respective parents, subsidiaries, affiliates, and advertising and promotion agencies, as well as each such employees' immediate family (spouse, parents, siblings, and children) and household members, are not eligible. The Contest is subject to all federal, state, and local laws and regulations.

RULE AND AGREEMENTS
Participation in this Contest constitutes your agreement to and acceptance of these Rules and the decisions of the Sponsor, which are final and binding. Winning the Contest is contingent upon being and staying compliant with these Rules. The script(s) submitted will be subject to review under these Rules, and the Sponsor may, in its sole discretion, disqualify any submission, and reserves the right to revoke or disqualify any winner. The Sponsor’s decision is final and binding.

PROMOTION PERIOD

Start Date: [XXX] - Participants may begin submitting their entries.

(“Start Date” and “End Date”, respectively, and together: "Promotion Period").

Announcement: The Sponsor will announce the Winner following the end of the Promotion Period, on [XXX] (“Announcement Date”).
The Sponsor reserves the right to modify, extend, suspend, or terminate the Promotion if it determines, that the Promotion is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions, or other causes beyond the Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play, and/or feasibility of the Promotion as contemplated herein.
Without derogating from the foregoing, the Sponsor may, in its sole discretion, terminate the Promotion if, as of one (1) month following the Start Date, fewer than one hundred (100) qualified submissions have been received. In such event, the Sponsor shall notify all submitters via the email address provided in the Form.

HOW TO ENTER?
Enter to the Contest by using the official Contest form available at: [add link] (“Form”) during the Promotion Period.
To be eligible to win the Prize (as defined below), participants must, at a minimum, satisfy the following Contest requirements:
(i) include a completed Form with all required information submitted accurately and truthfully;
(ii) include your original script materials in the formats and file types specified in the Form;
(iii) the script shall be with a total length of 60-65 pages.
(vi) include a current resume and a portfolio or writing samples, as requested in the Form;
(vii) comply with these Rules and with any submission guidelines, technical specifications, and content restrictions published by Sponsor.
Sponsor may disqualify any submission that is incomplete, illegible, corrupted, submitted in an unusable format, submitted after the End Date, or otherwise does not comply with these Rules, in Sponsor's sole discretion.
You must fill in all the information requested in the Form accurately, and truthfully. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the Rules. If you use fraudulent methods or otherwise attempt to circumvent the Rules, your entry and submission may be removed from eligibility at the sole discretion of the Sponsor. However, there is no limitation on the number of scripts submitted, therefore, you can, under the same email address, submit as many scripts as you wish (as long as they are different from each other and not duplicated).
Please note - even if you submit multiple scripts, you are only eligible to win one Prize, for the winning script.
All submissions must be original. Participants may not publish duplicated scripts, or any third-party copyright materials as their own.
Submissions that are substantially similar to other submissions may be disqualified in Sponsor's sole discretion.
Failure to meet any of the requirements set forth below in the official contest rules may lead to disqualification of the submission or revocation of any winning.

SELECTION OF THE WINNER
The Prize winning is based on skill. Sponsor and its partners (collectively, “Judges Panel”), will judge and select the Winner based on the script they rated highest among the qualified submissions, at their sole discretion.
Judges Panel. The Judges Panel will be composed of 5 Judges with extensive experience and knowledge in screenwriting, scripted content development, series production. The Judges Panel will include judges from the Sponsor's professional teams and additional external independent judges.
Sponsor may replace any judge, appoint alternate judges, or add additional judges at any time, in its sole discretion, including due to conflict of interest, unavailability, or operational needs, provided that the Contest remains a skills-based competition.
Winner is selected by the Judges Panel. Following the End Date, the Judges Panel will review and judge qualified submissions and will select the Winner, based on overall creative merit, as determined in the Judges Panel's sole discretion, taking into account (among others) the following weighted criteria: (a) 30% originality, the extent to which the script is creative and distinctive; (b) 30% feasibility for development into a series, the extent to which the concept and narrative can be practically and commercially developed and produced as a series within customary industry constraints; (c) 30% storytelling and craft, including structure, pacing, dialogue, character development, tone, and clarity; and (d) 10% overall professionalism of the materials (including the accompanying resume and portfolio), and the extent to which the submission clearly communicates the creative vision.
The Sponsor cannot accurately predict the number of participants or the number of scripts that will be submitted, the odds of winning depend on the total number of qualified submissions.

WINNERS NOTIFICATIONS
The Prize Winner will be announced on the Announcement Date. This section is only applicable to eligible entrants who qualify for a Prize and have not been disqualified for attempting to circumvent the Rules as determined by the Sponsor and further set forth herein.
Sponsor will attempt to notify the potential Winner via the email provided in the Form, on or about the Announcement Date. The Winner of the Prize will then be able to collect the Prize.
The Prize must be claimed within 60 days following notification of winning.
The Winner shall be solely responsible for all federal, state, and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the Prize.
ANY VIOLATION OF THESE RULES BY ANY WINNER (AT THE SPONSOR'S SOLE DISCRETION) WILL RESULT IN THE WINNER'S DISQUALIFICATION AS A WINNER OF THE CONTEST.
If the participation of the Winner is canceled and/or if a Winner decides to give up the Prize for any reason, Sponsor may, at its sole discretion, act in its best interests with the Prize, including transferring it to other participant or avoiding awarding the Prize.
Sponsor reserves the right to award unclaimed Prize to alternative prize winners or not to award them at all. Sponsor and anyone on its behalf will not be liable for non-receipt of a Prize by the Winner for any reason and will not be liable for any damage, loss, or injury in connection with the Prize.
Winner may be requested to provide proof of the Winner’s identity in the form of a passport or another identification form. If a Winner cannot provide proof of identity that is reasonably acceptable to Sponsor, Sponsor may withdraw the Prize and select another Winner. Sponsor is not responsible in any way for incorrect identification of the Winner, and the Winner shall have no claim regarding a Prize given to a non-winner participant.
Prize is non-transferable and non-exchangeable. Sponsor reserves the right to replace or change the Prize, in whole or in part, for any reason, at any time, all in accordance with the updates that will be provided by Sponsor.

THE PRIZE
Sponsor will award one (1) prize to one (1) Contest winner (“Winner”) selected by the Judges Panel in accordance with these Rules. The prize consists of a cash award of USD $10,000 ("Prize"). Sponsor may, in its sole discretion, disqualify the Winner, revoke the Prize, and select an alternate Winner (or elect not to award the Prize).
Prize will be awarded solely to the individual identified in the Form and who is the original owner of the qualified submitted script.

RIGHTS IN WINNING SUBMISSIONS
Sponsor shall have the exclusive right (but not the obligation) to develop, produce, distribute, exploit, and otherwise use the winning script and any derivative works, sequels, prequels, remakes, spin-offs, and adaptations thereof, throughout the world, in all media, and for the full term of protection; and the Winner’s sole consideration for assignment of rights, exploitation and exclusivity shall be one percent (1%) royalties from Sponsor's net income actually generated from the use of the winning script (and any derivative works) with a cap of one hundred thousand U.S. dollars (US$100,000). Meaning, the total aggregate royalty payment shall not exceed one hundred thousand U.S. dollars (US$100,000). Once the royalty payment sums to one hundred thousand U.S. dollars (US$100,000), the Sponsor shall be the sole owner of the work made from the winning script and the Winner shall have no rights or claims therein.
The Winner further commits to cooperate with the Sponsor in connection with the development and production of the winning script. Sponsor shall determine, in its sole and absolute discretion, the scope, budget, schedule, format, platform, vendors, locations, and all creative and production decisions relating to any such production. The Winner hereby irrevocably commits that it shall negotiate in good faith the contractual terms and conditions governing such production.

LIMITATION OF LIABILITY
The Sponsor will not be liable in case of (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Promotion; (iv) electronic or human error which may occur in the administration of the Promotion or the processing of entries; (v) failure of Sponsor to supply or provide the Prize or any part thereof, by any reason of any act of God, fire, natural disaster accident, or act of government, or any other cause beyond the Sponsor’s sole control; (vi) incorrect or inaccurate entry information whether caused by internet users or by any of the equipment or programming associated with or utilized in the Promotion or by any technical or human error which may occur in the processing of the entries in the Promotion; and (vii) for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.

PUBLICITY
You acknowledge and agree that, by submitting the Form, you grant permission for the use of your name and script for advertising, marketing, promotional, or publicity purposes (including, without limitation, listing the Winner), in any and all forms of media.

GOVERNING LAW
These Rules shall be governed by and interpreted in accordance with the laws of Israel excluding its conflict of laws. Any legal action or proceeding arising under these Rules will be brought exclusively in courts located in Tel-Aviv, Israel.
